DEFINING TERMS

The Financial Institution is not obligated to monitor the communications contained on its website. However, the Financial Institution may, at its sole discretion, edit, decline to post, or remove any information or materials or any portion thereof.

THE FINANCIAL INSTITUTION MAKES NO REPRESENTATION AS TO THE SUITABILITY, RELIABILITY, ACCURACY, ADEQUACY, TIMELINESS OR COMPLETENESS OF THE INFORMATION APPEARING ON THE SERVICE AND EXPRESSLY DISCLAIMS ANY LIABILITY FOR ANY ERRORS OR OMISSIONS. The Service may contain technical inaccuracies, outdated information and typographical errors.

LIMITATION OF LIABILITY
In no event will the Financial Institution, its directors, officers, employees, agents or affiliates be liable for any direct, indirect, special, incidental, consequential, punitive or any other damages, losses or expenses arising in connection with the Service or the inability to use the Service, including but not limited to, any failure of performance, error, omission, interruption, defect, delay in operation or transmission, computer virus or line or system failure, deterioration or corruption of files, deletion or corruption of e-mail, work delays, loss of data, loss of profits. If you are dissatisfied with any portion of the Service, your sole remedy is to cease using it.

INDEMNIFICATION
You agree to defend, indemnify and hold the Financial Institution, its directors, officers, employees, agents, and affiliates harmless from any and all claims, liabilities, demands, damages, and expenses including reasonable attorney's fees and costs, made by any party due to or arising out of your use of the Service, your connection to the Service, your violation of the Terms of Service, or your infringement of the intellectual property rights of third parties.

SUBMISSIONS
All information submitted to the Financial Institution through the Service shall be deemed and remain the property of the Financial Institution and the Financial Institution shall be free to use such information for any lawful purpose. Although the Financial Institution is taking reasonable and appropriate measures, including encryption, to ensure that your personal information is disclosed only to those specified by you, you acknowledge that the Internet is an open system and the Financial Institution does not guarantee that the personal information you submit will not be intercepted by others and decrypted.

SECURITY
You agree to keep your user name and password in confidence, to refrain from disclosing your user name and password to any third party, and to refrain from recording or displaying your user name and password in such a manner that it will be accessible by third parties. You agree that use of your user name and password by you or by anyone you permit or authorize shall be deemed an authorized use for which you will be responsible. You agree to notify the Financial Institution or its designee immediately 800-820-8450 in the event of any unauthorized use of your user name and password or any other breach of the security of your account or the Service. The Financial Institution will be entitled to monitor your password and, at its discretion, require you to change it. If you use a password that the Financial Institution considers insecure, the Financial Institution will be entitled to require the password to be changed and/or terminate your account. You agree to provide true, accurate, current and complete information through this Service. If you provide to the Financial Institution any information that is false, inaccurate, out of date, or incomplete, or the Financial Institution has reasonable grounds to suspect that such information is false, inaccurate, out of date, or incomplete, the Financial Institution may suspend or terminate your access to this Service, and may refuse any and all current or future use of the Service. You are prohibited from using the Service to compromise security or tamper with system resources and/or accounts. The use or distribution of tools designed for compromising security (e.g., password guessing programs, cracking tools or network probing tools) is strictly prohibited. If you become involved in any violation of system security, the Financial Institution reserves the right to release your details to system administrators at other websites in order to assist them in resolving security incidents. The Financial Institution reserves the right to investigate suspected violations of these Terms of Service.

ONLINE BILLING INQUIRIES

If you think your statement is wrong, or if you need more information about a transaction on your statement, you have the option of submitting your billing inquiry to the Financial Institution online and the Financial Institution will treat all such inquiries as written requests for purposes of its error-resolution procedures. You agree to cooperate with the Financial Institution during its investigation and submit copies of supporting documentation within the time limits prescribed.

PRIVACY

Please see the Financial Institution's Privacy Policy and the Privacy Policy for this Service, if any, for information regarding the collection and use of personal information from the Service.

MISCELLANEOUS

The Terms of Service and the relationship between you and the Financial Institution shall be governed by the laws of the State of Texas without regard to conflict of law principles. You acquiesce and submit to the personal and exclusive jurisdiction of the courts of Dallas County, Texas.

The failure of the Financial Institution to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. Any waiver of these Terms of Service must be in writing and signed by an authorized representative of the Financial Institution. If any provision of the Terms of Service is found by a court of competent jurisdiction to be unenforceable, the parties agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and all other provisions of the Terms of Service shall remain in full force and effect.

You agree that, notwithstanding any law to the contrary, any claim or cause of action arising out of or related to your use of the Service or to these Terms of Service must be filed within one (1) year after such claim or cause of action arises.

The Financial Institution may assign this agreement, in whole or in part, at any time. These Terms of Service coupled with the Privacy Policies referenced above constitute the entire agreement between the Financial Institution and you with respect to the Service, and these agreements supersede all prior or contemporaneous communications, proposals, and agreements, whether electronic, oral, or written, between the Financial Institution and you with respect to the Service.

The Financial Institution's performance under these Terms of Service is subject to existing laws and legal process. Nothing contained in these Terms of Service is in derogation of the Financial Institution's right to comply with governmental, court and law enforcement requests relating to your use of the Service, or information collected by the Financial Institution in connection with such use.

Any unauthorized access, modification or change of any information, or any interference with the availability of or access to this website is strictly prohibited. The Financial Institution reserves all legal rights and remedies available to it and this disclaimer shall in no way be deemed a limitation or waiver of any other rights the Financial Institution may have.

The parties agree that a printed version of these Terms of Service and of any other communications given in electronic form by the parties shall be admissible in any court or other proceeding to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.
